These terms apply when you book a paid course or training product with Diagonal Thinking. By ticking the "Accept booking terms" box on the booking form, you confirm that you have read, understood and agree to these terms.


## 1. About us


Diagonal Thinking Ltd is a UK company registered in England and Wales. Our registered office is in Manchester. Companies House number 13397962. VAT number 484706561. Trading as Diagonal Thinking.

These terms are governed by the laws of England and Wales. Any dispute will be heard exclusively in the courts of England and Wales.


## 2. What you are booking


The booking form will name the specific course or product you are buying.


Course materials, a recording of each session (where session-by-session recording is offered), and any supporting resources are available to paid attendees only.


## 3. Price and payment


The price per seat is shown on the booking page and is inclusive of VAT at the prevailing UK rate.

By booking you confirm you have authority to make the payment on the card or account you are using.


## 4. Cancellation by you and refunds


You may cancel a booking and receive a refund as follows:

- More than 14 days before the first session: full refund minus any unrecoverable payment processing fees.

- Between 14 days and 48 hours before the first session: 50% refund.

- Less than 48 hours before the first session, or after the first session has started: no refund.

You may transfer your seat to a colleague at any time before the course starts, at no charge. Email phil@diagonalthinking.co with the new attendee's name and email.

Refunds are made to the original payment method within 14 days of cancellation. Stripe processing fees on the original payment are not refundable to us, so we deduct them from the refund where the cancellation is within the partial-refund window.


## 5. Cancellation by us

If we have to cancel a session because the minimum viable cohort has not been reached, or because of force majeure (illness, technical failure, government restriction, supplier failure outside our control), we will:

- Reschedule to the nearest available date that works for the majority of registered attendees, or

- Refund in full if rescheduling does not work for you.

We will give as much notice as we reasonably can. We are not liable for any onward costs you may incur as a result of a cancellation by us (for example travel, time, lost productivity), beyond refunding the course fee paid.


## 6. How sessions are delivered

Sessions are delivered in person or online. Online sessions are delivered live on Zoom. The Zoom joining link, password (if any) and dial-in details are sent to the booking email at least 48 hours before each session. You are responsible for having a reliable internet connection, a device with camera and microphone, and a quiet environment to take part. If you cannot join live, the session recording is made available to you (see clause 7) so you can catch up.


## 7. Recordings and materials

Where session-by-session recording is offered for the product you have booked, paid attendees receive access to the recording for 14 days after each session ends. Recordings are hosted on a private link and are for personal use only. You must not share, redistribute, publish or transcribe the recording without our prior written consent.

Course materials (slide decks, handouts, exercise sheets) are made available to paid attendees through a private link sent after each session. The same restrictions on sharing apply.

We grant you a personal, non-transferable, non-exclusive licence to use the materials for your own learning and professional development. All copyright in the materials belongs to Diagonal Thinking.


## 8. Conduct

We expect attendees to treat each other, the host and any guest contributors with respect. We reserve the right to remove an attendee from a session or course without refund if their conduct is abusive, discriminatory, disruptive, or otherwise materially harmful to the experience of other attendees.


## 9. Personal data

We process the personal information you provide on the booking form in line with our [Privacy Notice](/privacy-notice). Booking requires us to process your name, email, billing details, and any access information needed to deliver the course. Marketing emails are only sent if you have separately ticked the marketing consent box on the booking form.

## 10. Communication during the booking lifecycle for online sessions

After booking we will email you with:

- An immediate booking confirmation and VAT invoice.

- A "save the date" calendar attachment for each session.

- A joining email at least 48 hours before each session with Zoom details.

- A follow-up email after each session with the recording link (where applicable) and any materials.

These are transactional emails. We send them regardless of your marketing-consent setting because they are necessary to deliver what you have booked.


## 11. Group bookings

For 2 to 5 seats from the same organisation, the per-seat price on the booking page applies to each seat.

For 6 or more seats, we offer a private cohort delivery. Email phil@diagonalthinking.co to discuss.


## 12. Limitation of liability

We use reasonable skill and care to deliver the course. The course is provided for general learning and professional development. We do not warrant that the course will achieve a specific business outcome for you, nor that we are providing legal, financial, tax, or other regulated advice.

To the extent permitted by law, our total liability to you for any claim arising from or in connection with the course is limited to the course fee you paid.

Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

## 13. Force majeure

We are not liable for any failure to deliver, or delay in delivering, the course where the failure or delay is caused by an event outside our reasonable control. In such cases we will offer a reschedule or a refund (clause 5).


## 14. Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top shows when the current version came into effect. The version you accept at the point of booking is the version that applies to your booking.
